Paramount Skydance has agreed to delay its acquisition of Warner Bros. Discovery to as late as June 2027 as the $110 billion deal faces an antitrust challenge from 12 states. The pause clears a path to trial but leaves Paramount staff weighing whether the merger will protect or threaten their jobs.

Paramount Skydance has agreed to delay its acquisition of Warner Bros. Discovery to as late as June 2027, a multi-month delay that will ultimately raise the deal price, as the tie-up faces a legal challenge. The $110 billion deal went on pause after a judge issued a temporary order in response to a lawsuit from 12 states.

Under the agreement, Paramount will hold off until five days after the antitrust cases are ruled on, or until June 1, 2027, whichever comes sooner. In a statement Friday, Paramount framed the delay as a win that opens a direct path to a trial based on the evidence.

Yet the financial exposure is large. Paramount would owe WBD a $7 billion breakup fee if the deal falls through. It has also agreed to pay WBD shareholders a ticking fee of about $7 million per day starting after September 30 if the merger isn’t done.

Beyond the boardroom, the delay has left staff uncertain. Twelve Paramount employees who spoke with Business Insider were split on whether the transaction would protect or threaten their jobs. According to Business Insider, one streaming manager who opposes the deal said they were “tired of mergers and chaos.”

Opposition reaches beyond the payroll. The Writers Guild of America has filed a lawsuit against Paramount, arguing the deal violates antitrust law. The states suing contend the combined company would gain undue influence over cable distributors and leverage over theatrical distribution.
