Alpha Modus Holdings shares dropped about 29% after the company advanced a plan to add 3,170 Bitcoin worth more than $200 million to its balance sheet. The Nasdaq-listed AI firm would fund the purchase by issuing tens of millions of new shares and warrants, a move management says will also help resolve a Nasdaq listing deficiency.

Alpha Modus Holdings Inc. (NASDAQ: AMOD) shares fell about 29% to $2.72 in morning trading Thursday after the Nasdaq-listed AI company advanced a transaction that would add 3,170 Bitcoin (CRYPTO: BTC) to its balance sheet. That put the company's intraday market capitalization at roughly $18.9 million.

The reaction put the scale of the proposed Bitcoin position in focus. The assets being added are worth more than ten times the company's equity value at the time of the drop.

A $71,000-per-Bitcoin deal

Alpha Modus said the transaction values Bitcoin at $71,000 per token.

Under an agreement signed Aug. 26 with non-U.S. investors, the company would issue roughly 51.6 million Class A shares and warrants covering another 51.6 million shares in exchange for the 3,170 BTC.

Management ties the deal to a Nasdaq listing fix

Management expects the transaction to materially increase shareholder equity and help address an outstanding Nasdaq listing deficiency, the company said. Alpha Modus added that the Bitcoin addition would expand its asset base without changing its operating strategy across artificial intelligence, intellectual property and financial technology.

CEO William Alessi said Alpha Modus had considered a similar strategy when Bitcoin was near record highs but chose not to proceed. According to Yahoo Finance: "We believed the better decision was to wait," Alessi said, pointing to the current combination of asset value and balance-sheet impact.

Dilution and listing stakes

The proposed deal comes as public-company Bitcoin treasury strategies face a tougher market backdrop. Alpha Modus is entering that trade with a digital asset position that would dwarf its existing market capitalization, while the share and warrant issuance creates a sizable potential dilution component for investors to weigh.

Completion still depends on the transaction closing, applicable accounting treatment and Nasdaq's determination regarding continued listing compliance.
