BitGo Holdings closed its acquisition of NYDIG's institutional trading business on August 27, 2026, for roughly $42.5 million, split between $7 million in cash and about $35.5 million in BitGo stock. Performance-based earnouts tied to revenue milestones could add another $15 million to the total. CEO Mike Belshe framed the deal, discussed in a podcast conversation with Pete Janney, as the next step for a platform trying to cover the full arc of institutional digital-asset activity.

What BitGo bought

NYDIG's trading unit brought derivatives, structured products, financing, and broader capital markets infrastructure that BitGo lacked in-house. Combined with BitGo's existing custody, settlement, and wallet stack, the merged business now covers more of what a large asset manager or bank treasury desk needs under one roof.

About 30 former NYDIG employees crossed over with the deal. Belshe has said institutions want a trusted partner that can handle a digital-asset position's entire lifecycle, from custody through trading and financing, rather than working with multiple separate vendors. Unusually for a deal this size, BitGo announced the acquisition simultaneously with its closing.

NYDIG's pivot away from trading

NYDIG's decision to sell its trading business reflects a shift toward a different part of the Bitcoin economy. The firm has been building out energy and computing infrastructure, including bitcoin mining operations and high-performance computing data centers, with a development pipeline reportedly exceeding 3 gigawatts.

A public currency for acquisitions

BitGo completed its NYSE listing in January 2026, trading under the ticker BTGO. That listing gave the company a public currency to use in acquisitions, which is exactly what happened here: most of the NYDIG deal was paid in stock rather than cash. The earnout structure tied to revenue milestones gives the former NYDIG trading team an incentive to retain its client book through the transition.
