CleanSpark is returning to the capital markets in a big way. The Bitcoin miner has priced $2.276 billion of senior secured notes due 2031, carrying an annual interest rate of 7.875%, as it expands its power and data-center footprint.
Proceeds Target The Sandersville Campus
According to the company's filing, proceeds are expected to support development at its Sandersville, Georgia campus, including infrastructure capable of serving Bitcoin mining and higher-performance compute workloads. That second part has become increasingly important across the mining industry.
A few years ago, miners were valued largely on hash rate, Bitcoin production and power cost. Today, investors are also asking how much of that infrastructure could support AI or high-performance computing customers, but the answer varies from site to site. Mining facilities do not automatically become AI data centers simply because both consume electricity — AI infrastructure generally demands different networking, cooling and uptime standards. Still, access to hundreds of megawatts remains a valuable starting point.
The Debt Comes With A Real Cost
A 7.875% coupon represents a meaningful interest burden, and secured debt gives lenders a stronger claim on pledged assets than unsecured financing would. As a result, the success of the investment depends on what CleanSpark can build with the proceeds and how effectively those assets generate cash.
For shareholders, this is debt financing rather than an equity raise. It therefore avoids the immediate share dilution tied to issuing a large block of new stock, but replaces that with fixed financing obligations.
The broader story here is less about one bond deal than about the evolution of large Bitcoin miners. The sector increasingly looks like a hybrid of mining company, power developer and data-center operator, and CleanSpark's latest financing gives it considerably more firepower to keep pushing in that direction.
