Genius Group plans to raise capital through perpetual preferred securities to fund an $827 million Bitcoin treasury and an $800 million AI portfolio by fiscal 2031, part of a broader $2 billion total-asset target. The company is also preparing to restart Bitcoin purchases in Q4 2026 after selling its entire holdings earlier this year to repay debt.
Genius Group turns to preferred capital
Genius Group said on Aug. 27 that it intends to use its $1.2 billion shelf registration to issue publicly registered perpetual preferred securities. The SEC declared that shelf registration effective on July 18, 2025. Under the preliminary proposal, the company would seek $12.5 million in its first offering, with non-convertible instruments carrying a variable dividend paid monthly.
Proceeds would be split among the Bitcoin treasury, the AI treasury, and a dollar reserve equal to roughly 18 months of preferred dividend payments, though Genius Group did not disclose the allocation. The final issue price, dividend rate, offering size, and sale date remain undecided, and any offering still requires board approval and separate SEC filings.
A $2 billion target across total assets
Rather than putting $2 billion entirely into Bitcoin and AI, Genius Group has set separate fiscal 2031 targets of $827 million for its Bitcoin treasury and $800 million for its AI portfolio, with operating businesses, cash, and other holdings making up the rest.
The company currently reports net assets of $106.6 million, following a 57% year-over-year increase announced on Aug. 13. Genius Group calculated its net asset value at $0.62 per share, while GNS closed at $0.18 on Aug. 26, putting the stock at about 0.29 times book value against a 2.60-times average for the U.S. education sector. Management has forecast that net asset value could reach between $2 and $4 per share over five years if the financing, asset-purchase, and buyback plans succeed.
Strategy provides the financing model
For its proposed securities, Genius Group cited Strategy's Bitcoin financing program as its main reference, noting that Strategy has raised more than $16 billion through four perpetual preferred stock series since introducing STRK in January 2025.
Bitcoin purchases are scheduled to restart
Genius Group adopted a Bitcoin-first policy in November 2024 and later held a peak of 440 BTC. A U.S. court order tied to a legal dispute then forced it to cut holdings before purchases resumed in June 2025. The company then sold its entire remaining Bitcoin during Q1 2026 to help repay $8.5 million in debt. Under the latest timetable, Bitcoin purchases are expected to restart in the fourth quarter of 2026, though the company has not disclosed the size of its first planned purchase.
