Ripple Prime closed a $275 million note sale on Aug. 18, and the BBB credit rating behind it leans on expected support from parent Ripple rather than pledged XRP collateral. Ripple reports 37.66 billion XRP, but escrow locks and sale limits constrain how much of that can actually back the brokerage.
Ripple Prime closed an upsized $275 million private placement of senior unsecured notes on Aug. 18, and the investment-grade rating behind that debt rests on expected parental support rather than pledged XRP collateral. Piper Sandler acted as lead placement agent on the offering, which funds working capital and general corporate purposes at a regulated entity.
KBRA's BBB rating hinges on parental support
KBRA assigned the holding company's senior unsecured debt a BBB rating with a Stable Outlook in July, before the offering closed, applying no notching from the issuer rating. The agency's case assumes Ripple would likely provide support if regulatory or liquidity constraints restricted dividends from the operating company, citing Ripple Prime's strategic importance and the parent's existing investment.
XRP adds value but isn't collateral
Ripple reported holding 37,656,053,914 XRP as of June 30, 2026, including 32.6 billion locked in on-ledger escrow. That leaves 5,056,053,914 reported XRP outside escrow. KBRA's April rationale had pointed to nearly $5 billion in cash and more than 40 billion XRP at Ripple as of the third quarter of 2025, treating the tokens as unrecognized value that still exposes the parent's support capacity to token prices in a downturn. Ripple has said unused XRP from its monthly escrow releases returns to escrow, and the outside-escrow balance cannot be mechanically converted into debt-support capacity because of sale restrictions and market depth.
The brokerage still has to grow into the rating
KBRA said Ripple injected about $500 million into Ripple Prime after acquiring Hidden Road, helping the U.S. business reach profitability in 2025. The brokerage's exchange-traded derivatives platform launched in 2024. Its fixed-income repo activity reached meaningful scale in 2025, and KBRA described the business as still in an early scaling phase with revenue concentrated in spread-based financing. A separate up-to-$200 million debt facility from Neuberger, announced in May, is not tied to the new notes, so the two deals don't establish $475 million of combined outstanding debt.
KBRA said weaker earnings, liquidity, capital, or reduced parental support could pressure the rating, while sustained execution and broader revenue diversification would support it.
