Private equity firm Silver Lake plans to merge two of its French software firms, Cegid and Silae, in a deal worth more than €10 billion ($11.6 billion). The combined company would bring together payroll, accounting, and digital finance tools under one roof and build a 1,400-person developer team focused on AI. The deal needs regulatory approval and is expected to close in the first half of 2027.

Silver Lake is merging two of its portfolio companies, business-management software firm Cegid and payroll platform Silae, into a single group with an enterprise value of more than €10 billion ($11.6 billion). The combined business would fold in payroll, accounting, e-invoicing, digital finance and payments data under one offering.

Building an AI-focused developer base

The merger would create a 1,400-person developer team dedicated to AI investment, according to the companies. Silver Lake managing partner Christian Lucas told CNBC's Karen Tso that Cegid contributes decades of accounting expertise: According to CNBC: "Cegid brings accounting and tax expertise that's been around for more than four decades". He added that Cegid's acquisition of payments and digital-banking firm Shine, along with Silae's payroll and HR capabilities, would let the combined group offer one integrated platform to businesses.

A response to pressure on software stocks

The tie-up comes as software stocks endure a choppy 2026 amid fears that rapid AI development could disrupt the sector, a dynamic dubbed the "SaaSpocalypse." The group said joining forces would let it scale research and development spending as AI reshapes the industry.

Lucas also framed the deal as a push for scale across Europe's fragmented technology market. He told CNBC that Europe is often treated as one market but is actually 27 different countries, and that few national tech champions have expanded successfully across the continent's major economies. Cegid and Silae, he said, are among the exceptions, having grown from France into Spain, Portugal and, in Cegid's case, Germany.

Deal structure and timeline

Silver Lake is currently the majority shareholder of both Cegid and Silae and will remain the majority shareholder of the combined group. Subject to regulatory approval, the transaction is expected to complete in the first half of 2027.
