A blank-check company called Circle Acquisition has reportedly filed for a $150 million IPO targeting digital assets, technology, and healthcare. No confirmed filing has surfaced on the SEC's EDGAR database, and the name invites confusion with the unrelated, already-public Circle Internet Group.

A special purpose acquisition company called Circle Acquisition has reportedly filed for a $150 million initial public offering, with stated targets spanning digital assets, technology, and healthcare. The filing adds another entrant to the SPAC pipeline at a time when blank-check companies face tighter regulatory scrutiny and a more skeptical investor base.

Name confusion with a bigger company

Circle Acquisition's reported raise would place it in the mid-tier of recent SPAC offerings. But its name invites immediate confusion with Circle Internet Group, the company behind the USDC stablecoin, which trades on the NYSE under the ticker CRCL. The two are not the same company.

That company took a very different path to public markets. After a failed SPAC merger, it pivoted to a traditional IPO in June 2025, raising approximately $1.1 billion with shares priced at $31. There are also Betsy Cohen-led vehicles called Cohen Circle Acquisition I and Cohen Circle Acquisition II, which raised between $200 million and $220 million targeting fintech opportunities. Those are distinct from this reported filing too, adding another layer of potential mix-up in a crowded market.

A crowded SPAC pipeline

Other blank-check filings are moving in parallel. Eaglesky Acquisition Corp filed an S-1/A detailing a $100 million to $115 million offering, and Oceanhawk Acquisition II surfaced with a $150 million raise of its own. Neither is connected to Circle Acquisition.

Why the filing remains unverified

SEC filings are the standard for confirming that a blank-check company exists, has legitimate sponsors, and has filed the proper paperwork. Without a confirmed S-1 on the SEC's EDGAR database, the reported Circle Acquisition filing should be treated with caution. The broader SPAC market has also seen the SEC tighten disclosure rules, now requiring more detailed projections and clearer conflict-of-interest disclosures from sponsors.

Circle Internet Group's pivot from a failed SPAC to a $1.1 billion traditional IPO stands as a contrast. As of September 15, 2026, no verifiable SEC filings for Circle Acquisition or its close variants have surfaced in connection with the reported $150 million IPO.
