The filing lands as the stock sits 54% below its year-ago level, with the company's price likely to track its Bitcoin holdings and a pending fusion-energy acquisition more than anything happening on Truth Social.
A tax-driven disposal, not a market call
Vladimir Novachki, chief technology officer of Trump Media & Technology Group Corp. (DJT), disposed of 29,957 shares of common stock on August 13, according to an SEC Form 4 filing. The shares carried an estimated $249,500 value at a weighted average price of $8.33.
The transaction was a non-discretionary sell-to-cover tied to vesting restricted stock units, executed solely to satisfy tax withholding. As a result, Novachki received no cash proceeds and made no discretionary decision on the stock.
Remaining stake still substantial
The sale reduced Novachki's direct holdings by 3%, leaving him with about 914,244 shares held directly, a 0.33% ownership stake. Based on the August 13 market close of $8.30, that stake is valued at $7.6 million.
Stock down 54% as other bets loom larger
The filing lands after shares of Trump Media have fallen 54% over the trailing 12 months, leaving the company with a $2.3 billion market capitalization as of the August 12 close. Trump Media generated just $4.5 million in trailing-twelve-month revenue against a net loss of $1.3 billion over the same period, and Truth Social itself brought in only $1.7 million in second-quarter revenue.
Trump Media lost $238 million last quarter, almost all of it paper losses tied to its crypto holdings, which now include roughly 14,139 bitcoin on the balance sheet. The company has also agreed to acquire TAE Technologies, a nuclear fusion developer, in a deal it hopes to close by year-end. It has additionally moved to monetize paid access to posts from President Donald Trump and other top users, disclosing 10 customers as of its latest earnings call.
For Trump Media shareholders, the technology division Novachki runs is now a smaller factor in the stock's direction than the Bitcoin treasury and the unproven fusion acquisition.
