The SEC has posted an 8-K filing for the 21Shares XRP ETF, disclosing a Benchmark Licensing Agreement with FTSE International for the index the fund tracks. The ETF has traded on Cboe BZX since December 2025 and held approximately $247.7 million in net assets by year-end.
The SEC posted an 8-K filing for the 21Shares XRP ETF, a fund that tracks XRP's price through direct holdings of the token. The filing, dated August 26, 2026, details a Benchmark Licensing Agreement between 21Shares US LLC and FTSE International Limited covering use of the FTSE XRP Index.
This is not a new approval or a launch announcement. The fund has traded on the Cboe BZX Exchange since December 11, 2025, under the ticker TOXR.
What the filing covers
The Benchmark Licensing Agreement, signed on August 20, 2026, governs how 21Shares uses the FTSE XRP Index as the fund's benchmark. The ETF passively tracks XRP's price by holding the tokens directly, without leverage or derivatives. Bank of New York Mellon and Coinbase handle custody duties for the trust.
Its S-1 registration was originally received by the SEC on November 1, 2024, then declared effective on December 10, 2025, clearing trading to begin the following day.
Fund growth since launch
By December 31, 2025, the 21Shares XRP ETF had accumulated net assets of approximately $247.7 million, just weeks after its trading debut. The trust also increased its outstanding shares by 3,890,000 from the prior period, pointing to steady creation activity from authorized participants.
The product arrived after Ripple Labs spent years in court with the SEC over whether XRP constituted a security, a dispute that weighed on the token's institutional adoption prospects. 21Shares, headquartered in Switzerland, was among the early issuers of Bitcoin and Ethereum products in Europe before expanding into the US market. FTSE International, part of the London Stock Exchange Group, supplies the index methodology behind the fund.
